Terms of Use.

These Terms of Use ("Terms") govern your access to and use of the website at builte.global (the "Site"), operated by Builte Limited, a company registered in England and Wales ("Builte", "we", "us", "our"). By accessing or using the Site you agree to these Terms. If you do not agree, you must not access or use the Site. Engagements with Builte for partnership work are governed by separate written agreements between Builte and the relevant counterparty, and those agreements take precedence in the event of conflict with these Terms.
1. Acceptance and definitions
1.1 By accessing the Site you confirm that you accept these Terms and that you agree to comply with them.
1.2 In these Terms:
- "Content" means all text, images, video, code, designs, marks, data, and other material made available through the Site.
- "Datasets" means any dataset compiled, derived or maintained by Builte, including underlying datasets developed in the course of Builte's business.
- "Derived IP" means all models, weights, embeddings, analytics, methods, know-how and other intellectual property derived from, or developed in connection with, Builte's products and services.
- "User", "you" and "your" refer to the individual or entity accessing the Site.
2. Eligibility
2.1 The Site is intended for business users acting in the course of a trade, business, craft or profession. By using the Site you confirm that you are at least 18 years old and that you have authority to bind any entity on whose behalf you act.
3. Licence to use the Site
3.1 Subject to your compliance with these Terms, Builte grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Site for your internal informational purposes.
3.2 No other rights are granted by implication, estoppel or otherwise.
4. Acceptable use
4.1 You must not:
- use the Site in any unlawful manner, for any unlawful purpose, or in any manner inconsistent with these Terms;
- infringe Builte's intellectual property rights or those of any third party;
- transmit any material that is defamatory, offensive, or otherwise objectionable;
- introduce any virus, trojan, worm, logic bomb or other material that is malicious or technologically harmful;
- attempt to gain unauthorised access to the Site, the server on which the Site is stored, or any server, computer or database connected to the Site;
- attack the Site via a denial-of-service attack or a distributed denial-of-service attack;
- scrape, harvest, frame, deep-link, mirror or use automated means to access the Site, except for lawful indexing by general-purpose search engines;
- use the Site or any Content to train, fine-tune, evaluate or benchmark any machine learning model, or to develop a competing product or service.
4.2 Breach of clause 4.1 may constitute a criminal offence under the Computer Misuse Act 1990 or equivalent legislation. Builte will report any such breach to the relevant law enforcement authorities and co-operate with them by disclosing your identity.
5. Intellectual property
5.1 The Site, the Content, the Datasets, the Derived IP, the Builte name, the Builte wordmark, and all other intellectual property rights in and relating to Builte's products and services are owned by Builte or its licensors. All rights are reserved.
5.2 Nothing in these Terms transfers to you any right, title or interest in the Site, the Content, the Datasets or the Derived IP.
5.3 You may print one copy and download extracts of any page on the Site for your personal reference, provided that you do not modify the material, do not use any illustrations, photographs, video, audio or graphics separately from the accompanying text, and acknowledge Builte as the source.
6. Informational purposes; no advice
6.1 The Site is provided for general information about Builte and its activities. It does not constitute legal, regulatory, financial, technical, engineering, safety, medical or other professional advice. You must obtain professional advice before taking, or refraining from, any action on the basis of Content.
7. No warranties
7.1 The Site and the Content are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Builte excludes all conditions, warranties, representations and other terms, whether express or implied, including any implied terms of satisfactory quality, fitness for a particular purpose, non-infringement, accuracy or completeness.
7.2 Builte does not warrant that the Site will be uninterrupted, timely, error free or free of viruses or other harmful components.
8. Limitation of liability
8.1 Nothing in these Terms excludes or limits Builte's liability for death or personal injury caused by its negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited by law.
8.2 Subject to clause 8.1, to the maximum extent permitted by law, Builte shall not be liable for:
- any loss of profits, loss of revenue, loss of business, loss of contracts, loss of anticipated savings, loss or corruption of data, or loss of goodwill;
- any indirect, special or consequential loss; or
- any loss arising from your reliance on Content, your inability to access the Site, or any virus, distributed denial-of-service attack or other technologically harmful material that may infect your equipment.
8.3 Subject to clause 8.1, Builte's total aggregate liability arising out of or in connection with your use of the Site, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed one hundred pounds sterling (GBP 100).
9. Indemnity
9.1 You shall indemnify and keep indemnified Builte against all liabilities, costs, expenses, damages and losses (including any direct, indirect or consequential losses, loss of profit, loss of reputation and all interest, penalties and legal and other reasonable professional costs and expenses) suffered or incurred by Builte arising out of or in connection with your breach of these Terms or your unlawful use of the Site.
10. Third-party links
10.1 The Site may contain links to other sites and resources provided by third parties. These links are provided for your information only. Builte has no control over the contents of those sites and resources and accepts no responsibility for them or for any loss or damage that may arise from your use of them.
11. Confidentiality of enquiries
11.1 Information you submit through the partnership enquiry form, or send to partners@builte.global, will be handled in accordance with our Privacy Policy and treated as confidential between you and Builte, save to the extent disclosure is required by law or by a regulator of competent jurisdiction.
11.2 Submission of information through the Site does not, of itself, create any contractual, fiduciary or advisory relationship between you and Builte.
12. Privacy
12.1 Our processing of personal data in connection with the Site is described in our Privacy Policy. Our use of cookies is described in our Cookie Policy.
13. Variation
13.1 We may revise these Terms at any time by amending this page. The amended Terms take effect when posted. Your continued use of the Site after the amended Terms have been posted constitutes acceptance of the amended Terms.
14. Assignment
14.1 You may not assign, transfer or sub-contract any of your rights or obligations under these Terms. Builte may assign, transfer or sub-contract any of its rights or obligations under these Terms at any time.
15. Severability and waiver
15.1 If any provision of these Terms is held to be invalid, illegal or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid, legal and enforceable, or, if it cannot be modified, severed from these Terms. The remaining provisions shall continue in full force.
15.2 No failure or delay by Builte to exercise any right or remedy under these Terms shall operate as a waiver of that, or any other, right or remedy.
16. Entire agreement
16.1 These Terms, together with the Privacy Policy and the Cookie Policy, constitute the entire agreement between you and Builte in respect of your use of the Site and supersede any prior agreement, understanding or arrangement between you and Builte relating to that subject matter.
17. Governing law and jurisdiction
17.1 These Terms, their subject matter and their formation (and any non-contractual disputes or claims arising out of or in connection with them) are governed by, and construed in accordance with, the laws of England and Wales.
17.2 You and Builte agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter or formation, save that Builte retains the right to bring proceedings in any other jurisdiction to protect its intellectual property rights or confidential information.
